Attending: Josh Wolfe, Andrew Kelley, Mason Ramaley, Loris Cro
Agenda:
- review by-laws and make sure we’re following the rules
- travel budget
- getting Mason and/or Josh permissions/signed up to take over bank account, taxes, etc in case I die
By Laws
- Yearly election. Board members are elected annually for up to a 5 year term. There is no need to do any elections this year; this is the second year for each board member’s term.
- What exactly counts as a director vs officer? The board members (Andrew, Josh, Mason) are the directors. They serve officer roles (President, Secretary, Treasurer). The director roles need to be reelected every 5 years. The officer roles need to be reelected every 3 years. We can make this less awkward by simply reelecting all of it every 3 years.
We seem to be compliant with all other bylaws.
Travel Budget

Reviewed the financial report for the last year.
- (The AWS bill for the website is miscategorized as “Office Supplies”.)
- The majority of the spending is paying developers to contribute to Zig.
- We’ve observed roughly consistent growth quarterly.
- We’ve been matching our growth in income with expanding paying contributors.
- We have on the order of $75k in the bank.
Proposal:
- Allocate $10k for an events and travel budget for 2022. This is for marketing and community building. Loris Cro will decide how to spend this. Votes:
- Andrew: Yes.
- Josh: Yes.
- Mason: Yes.
Proposal:
- Authorize travel expenses for Loris and Jakub to buy plane tickets and hotel bookings to attend Handmade Seattle 2021. No explicit limit on the budget.
- Plane ticket ~$800, Hotel ~$500. Two people. Estimate $3000. Votes:
- Andrew: Yes.
- Josh: Yes.
- Mason: Yes.
Bank Account Access
Is Mason interested in doing the paperwork necessary to have access to Zig’s finances? Mason: Yes. This will be done outside this meeting.
